Shamsey T. Oloko is a New York transactional attorney with primary practice areas consisting of corporate and business law, IRS legal counsel, tax law and real estate, bringing to bear a combined legal/Wall Street experience spanning nearly 20 years. Mr. Oloko began his legal career with the law offices of Bryan Cave, LLP. He has represented clients ranging from private individuals to publicly traded companies in a variety of domestic and international corporate transactions and worked on mergers and acquisitions, joint ventures, financings, restructurings, private offerings, anti-takeover defense and sale of distressed debt, purchases and sales of businesses.

Mr. Oloko also advises clients on strategic tax matters including IRS legal counsel. His representations of clients on tax matters often include audits, collection and other adverse enforcement measures initiated by federal, state or local taxing authorities. In addition to his recent appointment by the United States Secretary of the Treasury to the Tax Advocacy Panel, an advisory panel established to provide recommendations for Internal Revenue Service improvement, Mr. Oloko is also an appointee to the Association of the Bar of the City of New York’s Committee on Taxation Business Entities.

Immediately prior to becoming a New York tax attorney, Mr. Oloko was with the investment banking firm of Goldman Sachs & Co. During his career at Goldman Sachs, Mr. Oloko gained experience and demonstrated wide expertise in various capacities in connection with several investment securities, ranging from money market instruments such as commercial papers and repurchase agreements to higher-risk instruments such as distressed debts.

In addition to his business and professional engagements, Mr. Oloko is active in community and pro bono matters. He is the 2004 winner of the Fordham University School of Law’s Black Law Students Association’s Ruth Whitehead Whaley Award. He is a founding member and former President of the Nigerian Lawyers Association and also served as a member of the Association’s Board of Directors. He is also a member of the Metropolitan Black Bar Association, the National Honor Society in Economics and the Association of Investment Management and Research.

Omar Bolaji Gambari is a New York tax attorney with the Thorgood Law Firm, with primary practice in the areas of corporate and business law and international corporate law. Mr. Gambari currently manages the Firm’s Lagos office where he has played pivotal roles in corporate agreements in connection with general business transactions for a wide array of clients and industries that include the Advertising, Information Technology, Financial & Business Advisory, Real Estate and the Oil & Gas industries.

Mr. Gambari’s practice in international corporate law has involved the negotiation and drafting of key agreements in connection with two multi-billion Naira shopping mall complexes based in two major cities of Nigeria, the negotiation and drafting of operative shareholder agreements, project management contracts and consultant services contracts. He has also advised, negotiated and drafted contracts that formed the basis of a N300 million media deal between an advertising concern and a major food producing company.

Additionally, Mr. Gambari serves as outside counsel to several companies including a major Oil & Gas company involved in the lifting, marketing and distribution of liquid petroleum gas in Nigeria. Mr. Gambari’s background and experience has also proved invaluable in offering business and legal advisory services to American companies wishing to do business in Nigeria.

Prior to obtaining his law degree, Mr. Gambari worked as an investment analyst with Merrill Lynch private client group in New York. Mr. Gambari was also previously associated with the General Legal Division of the United Nations. He has also worked with the law offices of Simpson Thacher & Bartlett in New York.

Mr. Gambari heads the African Youth Organization, a not-for-profit organization that provides mentoring and support for students of African origin.
